Part II

The Marketplace

5. Nature of the Platform – Intermediary Role

5.1 The Company acts exclusively as a technology intermediary and marketplace operator. While the Company may support Educators in the creation, promotion and management of programs and User profiles, it does not itself provide medical education, medical advice, or healthcare services of any kind. It may collaborate with its learning partners to offer independent events, conference and courses that it has expertise with, either as a marketing partner and/or co-organizer.

5.2 Educators are independent third parties and are not employees, agents, partners, joint venturers, or representatives of the Company. The Company does not control, supervise, or direct the substance of any Services delivered by Educators. The Company does not set, control, or recommend the fees charged by Educators for their Services; all pricing decisions are made solely and independently by each Educator.

5.3 The display of a Listing on the Platform does not constitute an endorsement, validation, or certification of the Educator or their Services by the Company.

5.4 When a Booking is confirmed, a direct contractual relationship is formed between the Educator and the Learner. The Company is not a party to that contract.

5.5 Nothing on the Platform constitutes medical advice, clinical guidance, or a substitute for professional medical judgment. Content on the Platform is for educational purposes only.

5.6 Healthcare professionals are not providing patient consultations and must not be booked or consulted for this purpose.

6. Educator Obligations

6.1 Educators must ensure that all Listings are accurate, complete, not misleading, and comply with applicable laws. Listings must clearly describe:

  • the subject matter, format, duration, and language of the Services;
  • the Educator's qualifications and credentials relevant to the Services;
  • any prerequisites for Learners; and
  • whether any certificate or credential is awarded upon completion, and the basis for such award.

6.2 Educators are solely responsible for ensuring that their Services comply with all applicable laws, regulations, and professional standards in the Educator's jurisdiction and in any jurisdiction where they knowingly deliver Services, including but not limited to medical licensing, continuing medical education accreditation, data protection, and consumer protection laws.

6.3 The Company may, but is not obligated to, verify Educator credentials. Educators grant the Company the right to display their stated credentials on the Platform.

6.4 Educators must not list or deliver Services that:

  • promote unproven, pseudoscientific, or harmful medical practices;
  • constitute unauthorized practice of medicine;
  • violate intellectual property rights of third parties;
  • contain false, deceptive, or misleading claims regarding clinical outcomes.

6.5 Educators must promptly update their Listings and credential information upon any material change, including suspension or revocation of any professional license.

7. Learner Obligations

7.1 Learners acknowledge that content provided through the Platform is for educational purposes only and does not constitute medical advice applicable to any individual patient or clinical situation.

7.2 Learners are responsible for independently verifying the qualifications of Educators and the suitability of Services for their professional needs and learning objectives.

7.3 Learners who are healthcare professionals remain solely responsible for their professional conduct, clinical decisions, and compliance with their own professional obligations.

8. Bookings and Transactions

8.1 A Booking is confirmed upon the Learner completing payment and receiving written confirmation from the Educator.

8.2 The Company may collect payments from Learners on behalf of Educators through integrated third-party payment processors. By using the Platform, Users agree to the terms of the applicable payment processor.

8.3 The Company charges Educators a Platform Fee as disclosed in the Fee Schedule, which may be updated from time to time with reasonable prior notice.

8.4 Each User is solely responsible for determining, collecting, reporting, and remitting all applicable taxes (including VAT) arising from their use of the Platform in their respective jurisdictions. The Company may be required to collect certain taxes in specific jurisdictions; where applicable, this will be disclosed at checkout.

9. Cancellation and Refund Policy

9.1 If an Educator cancels a confirmed Booking, the Learner will receive a full refund. The Company reserves the right to apply penalties to Educators with repeated cancellations.

9.2 Cancellations by Learners are subject to the cancellation policy selected by the Educator in their Listing, which will be clearly displayed prior to Booking. The available policies are:

Flexible

Full refund up to 24 hours before the Service

Moderate

Full refund up to 7 days before the Service

Strict

50% refund up to 14 days before the Service; no refund thereafter

9.3 Where applicable under mandatory consumer protection laws of the Learner's jurisdiction, statutory withdrawal rights shall apply and shall not be limited by these Terms.

Part III

Content and Intellectual Property

10. User Content

10.1 By uploading or submitting Content to the Platform, Users grant the Company a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, display, distribute, and adapt such Content solely for the purposes of operating and promoting the Platform.

10.2 Users retain all intellectual property rights in their Content. Nothing in these Terms transfers ownership of the Users' Content to the Company.

10.3 All Content must comply with applicable law and must not be defamatory, obscene, infringing, or otherwise harmful. The Company reserves the right to remove Content that violates these Terms.

10.4 Educators retain ownership of their Course Materials. Learners are granted a limited, personal, non-transferable, non-sublicensable license to access and use Course Materials solely for their personal educational purposes. Redistribution, recording, or resale of course materials is strictly prohibited unless expressly authorized by the Educator.

10.5 Unless the Educator has granted express prior written permission, Learners must not record any live session, webinar, workshop, or interactive component, whether by screen recording, audio recording, or any other means.

10.6 Learners are further prohibited to:

  • reproduce, copy, download, or store Course Materials beyond what is technically necessary for personal use during the access period;
  • resell, sublicense, or commercially exploit Course Materials in any form;
  • use Course Materials to train, fine-tune, or develop artificial intelligence or machine learning models, or include them in any dataset used for such purposes;
  • remove or obscure any copyright notices, watermarks, credits, or proprietary markings contained in Course Materials.

10.7 Where an Educator has used artificial intelligence tools to generate or materially assist in the creation of Course Materials, the Educator must disclose this to Learners in the Listing description. AI-generated Course Materials must meet the same accuracy and quality standards as human-authored materials.

10.8 Learners may not use AI-based tools to automatically transcribe, summarise, or extract structured content from live sessions without the Educator's prior express written consent. Educators who permit such tools must state this expressly in their Listing description.

11. Company Intellectual Property

11.1 The Platform and all Company-created content, trademarks, logos, designs, and software are the exclusive property of the Company or its licensors and are protected under applicable intellectual property laws.

11.2 Users are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for its intended purposes. No other rights are granted.

Part IV

  • harass, threaten, or abuse other Users.

13. Advertisement

13.1 Users must not use the Platform, whether through Listings, Course Materials, messaging, or any other feature, to advertise, promote, or solicit the prescription, sale, or use of any medicinal or pharmaceutical product, medical device, or clinical service. This prohibition covers all forms of advertising, including:

  • advertising of prescription-only medicinal products to the general public;
  • misleading, exaggerated, or unsubstantiated claims about a medicinal product or medical device;
  • promotion of uses, dosages, or indications not approved by Swissmedic or the competent health authority of the applicable jurisdiction (off-label promotion);
  • covert or undisclosed sponsored content benefiting a pharmaceutical or medical device manufacturer.

13.2 This prohibition does not apply to genuine, objective, balanced, and evidence-based scientific or educational discussion of medicinal products or medical devices, provided that any financial or other relationship between the Educator and a manufacturer is clearly disclosed in the Listing.

13.3 Users are solely responsible for any regulatory, criminal, or disciplinary consequences arising from violations of applicable laws on advertisement of medicinal or pharmaceutical products.

14. Enforcement

14.1 The Company reserves the right, without prior notice and at its sole discretion, to:

  • remove any Listing or Content;
  • suspend or permanently terminate any Account;
  • restrict access to any Platform feature;
  • withhold or reverse payments in cases of suspected fraud or breach.

14.2 The Company will endeavor to provide affected Users with notice of enforcement actions and an opportunity to respond where this is reasonable in the circumstances.

15. Reviews and Ratings

15.1 Learners may leave reviews and ratings for Educators following completion of a Booking.

15.2 Reviews must be honest, accurate, and based on genuine experience. The Company reserves the right to remove reviews that violate these Terms or appear to be fraudulent.

15.3 Educators must not solicit or incentivize positive reviews or attempt to suppress negative ones.

Part V

Liability and Indemnification

16. Disclaimer of Warranties

16.1 The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, to the maximum extent permitted by applicable law.

16.2 The Company does NOT, in particular and without limitation, warrant that:

  • the Platform will be uninterrupted, secure, or error-free;
  • any Educator credentials are accurate or that Services meet professional standards;
  • Content on the Platform is accurate, complete, or up to date.

16.3 Nothing in these Terms excludes warranties that cannot be excluded under mandatory applicable law.

17. Limitation of Liability

17.1 To the maximum extent permitted by Swiss law (in particular, the Swiss Code of Obligations, CO) and any other applicable mandatory law, the liability of the Company shall be excluded.

17.2 The Company is, in particular and without limitation, not liable for:

  • the acts, omissions, qualifications, or conduct of any Educator;
  • the suitability of any Service for any Learner's professional or clinical needs;
  • any reliance by a Learner on educational content for clinical decision-making;
  • off-platform interactions between Users.

18. Indemnification

18.1 Each User agrees to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of:

  • their use of or access to the Platform in breach of these Terms;
  • any Content they upload or transmit;
  • any Services they provide or receive;
  • their violation of any applicable law or third-party rights.
Part VI

Data Protection and Privacy

The collection, use, and disclosure of personal data in connection with the Platform are governed by our Privacy Policy and Cookie Policy, which form an integral part of these Terms.

Part VII

Dispute Resolution

18.1 These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with Swiss law, excluding its conflict of law provisions.

18.2 Subject to mandatory consumer protection provisions applicable in a User's country of residence, the exclusive place of jurisdiction for any dispute between a User and the Company shall be the courts of Zurich, Switzerland.

Part VIII

Final Provisions

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Fee Schedule, and any applicable Educator Agreement, constitute the entire agreement between the User and the Company with respect to the Platform and supersede all prior agreements and understandings.

21. No Waiver

A failure or delay by the Company in exercising any right under these Terms shall not constitute a waiver of that right.
